Bergen Brunswig Presses Company for Data

ORANGE — Bergen Brunswig Corp. vowed legal action Friday after the Alabama pharmaceuticals distributor that it hopes to buy refused to provide it with the financial information it sought.
In a letter to Orange-based Bergen Brunswig, takeover target Durr-Fillauer Medical Inc. of Montgomery, Ala., said that it hopes to complete a $450-million merger with another company, Cardinal Distribution of Dublin, Ohio.
Because Durr-Fillauer expects to compete with Bergen Brunswig in the future, Chairman W.A. Williamson Jr. said, disclosing the information would not be in the best interest of his shareholders.
Bergen Brunswig said it will go to court Aug. 6 in Delaware, where Durr-Fillauer is incorporated, to try to get the information. Bergen Brunswig says it needs the information to decide whether to sweeten its $365-million buyout offer.
